These Terms may be varied by us at any time, effective upon the posting of modified terms on the Website. We will advise you of changes either by amending the "Last updated" date above, or otherwise by email. You will ensure that you have read, understood and agree to the most recent terms posted on the Website or as otherwise notified to you and you are deemed by your continued use of the Website or attendance at the Summit to have accepted such terms.
2. Details of Summit
- 2.1 The Sovereignty Summit 2027 will be held from 2 to 3 April 2027 at the Base Building, Coronet Peak Skifield.
- 2.2 The Organiser reserves the right to:
- (a) change the venue, date, time, duration and program, including changes in the speakers, length, focus and type of keynotes, lectures and other features of the Summit; and
- (b) cancel the Summit no later than 30 days from the planned start date. If you are travelling to the Summit, the Organiser recommends that you do not make travel or accommodation bookings prior to this, or alternatively make flexible bookings that will not incur a cancellation fee.
- 2.3 Any changes concerning the Summit will be announced by posting on the Website. You acknowledge and agree that you are responsible for your own travel/accommodation bookings and no compensation will be made by the Organiser should the Summit be rescheduled or cancelled.
- 2.4 If the Summit is cancelled, the Purchaser has the right to a refund of the Ticket purchase price paid or to transfer the validity of the purchased ticket to the next occurring summit organised by us. The Purchaser must notify the Organiser of the option chosen within thirty days of the notice of cancellation of the Summit or within another period specified by the Organiser. If the Purchaser fails to make a declaration within the time limit set in this section, the validity of the purchased ticket shall be transferred to the next occurring summit organised by us, if possible.
3. Formation of Contract
-
3.1 These Terms regulate the content of the contract (Contract) for the purchase of:
- (a) tickets to the Summit (Tickets); and/or
- (b) merchandise on the Website or at the Summit (Merch),
in each case as concluded between the Organiser and the Purchaser of the Tickets and/or Merch. These Terms also set out the conditions of participation in the Summit.
-
3.2 The Organiser may offer:
- (a) Merch for sale either on the Website or at the Summit. The Organiser reserves the right to change the types and/or characteristics of the Merch; and
- (b) Tickets for sale either on the Website, at the Summit or via linked third party websites including Satlantis (https://www.satlantis.io/) (the Ticketing Provider).
In each case, the Organiser invites Purchasers to send an offer to purchase Tickets and/or Merch by filling in and submitting the order form. Before sending the order, the Purchaser is advised to check the contents of the order as the Contract is concluded at the moment of confirmation by the Organiser or (as applicable) Ticketing Provider.
-
3.3 The purchase of Tickets or Merch may be conditional upon the registration of a user account through the Website or a third party website (each a Third Party Site) in accordance with the applicable terms and conditions of such user account registration. When you follow the link to a Third Party Site (including of the Ticketing Provider), you leave our Website and transact on a separate platform governed by the Ticketing Provider's own terms of use and privacy policy, which we encourage you to read.
-
3.4 All communication between the Parties shall be in electronic form. The Purchaser is entitled to contact the Organiser at the electronic contacts published by the Organiser on the Website. The Organiser is entitled to contact the Purchaser at the electronic contact provided by the Purchaser at the conclusion of the relevant Contract. The Organiser is also entitled to deliver information to the Purchaser by posting it on the Website.
4. Payment
- 4.1 Price: The price of each type of Ticket or Merch is listed on the Website or linked Third Party Site, including any discounts and other promotional offers (as well as the terms and conditions for redemption of such discounts or promotional offers) as well as applicable fees and/or taxes. The Organiser reserves the right to change or terminate individual discounts and promotional offers. Any changes to these are without prejudice to any Tickets or Merch already purchased. All other taxes, customs and other fees and delivery costs that may be added to the price of the Tickets and/or the Merch when delivered outside of New Zealand are the sole responsibility of the Purchaser.
- 4.2 Discounts: Discounts on prices for Tickets (e.g. Early Bird and Super Saver prices) will only be applied if payment is received in full no later than 5 p.m. New Zealand time on the date specified. You will be re-invoiced for the undiscounted price should your payment not be received by this date.
- 4.3 Payment method: The price can only be paid for by the methods listed on the Website or linked Third Party Site. If payment is made through third party services, the terms and conditions of those third parties may also apply to the making of payments. Payment can either be made in New Zealand dollars or in bitcoin in accordance with clause 4.4.
- 4.4 Payment via bitcoin: If indicated on the Website or on the linked Third Party Site, the Purchaser is entitled to pay the purchase price in New Zealand dollars (NZD) via bitcoin in the manner indicated on the Website. The exchange rate of bitcoin to NZD or vice versa is determined by the Organiser and the Purchaser will be notified of the relevant amount of bitcoin at the time of purchase, which the Purchaser must provide to the Organiser in order to pay the purchase price. The determination of the exchange rate may be time-limited and in the event that the Purchaser fails to provide the relevant quantity of bitcoin in a timely manner, the Purchaser must place a new order and the exchange rate may change. The Purchaser agrees to the specified exchange rate by paying the purchase price.
- 4.5 Cancellation policy / refunds
- (a) Once purchased, the purchase price for a Ticket is non-refundable (subject to clause 2.4) unless the Organiser consents otherwise. Such consent may be given or withheld for any reason or for no reason.
- (b) In particular, you acknowledge and agree that no refunds will be issued on account of denied travel visas and that you assume all risks associated with a travel visa being declined, not received in time for the Summit or all other travel- or visa-related issues preventing attendance.
- (c) Any refund may be subject at the discretion of the Organiser to a 20% + GST administration fee per Ticket.
- (d) If a Purchaser is to be refunded the purchase price paid for the Ticket or the Merch (as applicable) and the Purchaser has paid the purchase price in:
- (i) fiat currency, then the purchase price (less administration fee, if applicable) will be refunded to the Purchaser using the same payment method in which the payment was made; and/or
- (ii) bitcoin, then the Organiser shall return the purchase price (less administration fee, if applicable) to the Purchaser to such on-chain or layer 2 (e.g. lightning) address as the Purchaser may specify by email.
- (e) The Purchaser agrees to provide the Organiser with all assistance to refund the purchase price.
5. Tickets
- 5.1 Nature of Ticket: A Ticket is a document evidencing creation of the Contract and entitles the holder of a valid Ticket (Attendee) to attend the Summit and the accompanying program on a one-time basis, to the extent of the type of Ticket held. By entering into the Contract, the Purchaser agrees to these Terms. If the Purchaser is purchasing a Ticket for another Attendee, the Purchaser shall inform the Attendee of their obligations under these Terms before purchasing the Tickets.
- 5.2 Types of tickets: The Organiser offers different types of Tickets for sale, which differ mainly in the entitlement of their holder to participate in different parts of the Summit. The different types of Tickets and the rights or restrictions associated with them are listed on the Website or on the linked Third Party Site(s). The Organiser reserves the right to change the Ticket types and their characteristics.
- 5.3 Quantity limitation: Tickets are limited in quantity and can be divided into several periods when only a limited number of Tickets can be purchased at one time. The Organiser further reserves the right to limit the number of tickets that may be purchased by a Purchaser.
- 5.4 Ticket delivery: Purchased Tickets will be delivered to the Purchaser electronically to the e-mail address provided by the Purchaser after the Purchaser has paid the purchase price in full.
- 5.5 Transferability: If an Attendee is no longer able to attend the Summit, you may send a substitute delegate in their place for the entirety of the Summit at no extra charge.
6. Conditions to entry
- 6.1 Before entering the Summit, each Attendee is obliged to register at the place designated for this purpose by the Organiser. As part of the registration of Attendees, the Organiser shall verify the validity of the ticket by scanning the QR code indicated on it. Upon successful verification of the validity of the ticket, the Organiser will allow the Attendee to enter the Summit. Attendees may be (a) required to present ID upon admission to the Summit (failing which the Attendee will not be allowed to enter the Summit) and (b) searched at the discretion of staff or security at the Summit, in our sole discretion.
- 6.2 Attendees are required to carry their Tickets and any other visible identification issued by the Organiser at all times during the Summit. If an Attendee fails to present a valid Ticket when requested to do so, this shall constitute a serious breach of the conditions of participation in the Summit and the Organiser shall be entitled to require the Attendee to leave the Summit.
- 6.3 Entry to the Summit will be granted to the first Attendee who presents the Ticket at the time of registration. Tickets may not be reproduced or altered.
7. Photos, recording, media
- 7.1 The Organiser does not place any general restrictions on you personally photographing, filming, recording, or otherwise documenting the Summit, however we may, in its sole and absolute discretion where requested by a speaker, prohibit or restrict the photographing, filming or other recording of one or more specific sessions at the Summit. However, by participating in the Summit, you acknowledge and agree that:
- (a) you do not have a licence to reproduce any Summit content, including but not limited to our own trademarked and copyrighted content, speaker and sponsor content, graphics, signage, products and services and that you are strictly prohibited from doing so for any purpose other than personal use, for which you agree to provide credit to the Organiser as source. We retain the rights to all other usage;
- (b) by personally recording or distributing any content from the Summit, you warrant that you understand and agree you may be infringing upon one or more third parties' rights in reproducing or distributing photos or other content without express written permission, release or licence; and
- (c) you may be recorded or photographed as a result of your attendance at the Summit, as is the case with any event open to the public. Your attendance is your choice and we are not responsible for your appearance in any third party photographs, social media posts, video, or other recorded media, nor are we responsible or liable in any way for any such content resulting from your attendance, including content which you may find offensive or harmful. You agree to hold us harmless and assume all risk of any appearance by or depiction of yourself by third parties that results from your voluntary attendance at the Summit.
- 7.2 Organiser's use of media
-
(a) The Organiser reserves the right to use any photograph/video taken at the Summit, without the express written permission of those included within the photograph/video, including without limitation in publications or other marketing/publicity media material produced, used, or contracted by the Organiser. To ensure the privacy of individuals, images will not be identified using full names or personal identifying information without written approval from the photographed subject.
-
(b) Subject to paragraph (c) below, by participating in the Summit you are agreeing to release, defend, hold harmless and indemnify the Organiser from any and all claims involving the use of your picture or likeness. Any person or organisation not affiliated with the Organiser may not use, copy, alter or modify the Organiser photographs, graphics, videography or other, similar reproductions or recordings without the advance written permission of an authorised designee from the Organiser.
-
(c) If you do not wish to be photographed at the Summit, you must:
- (i) advise us in writing before the Summit; and
- (ii) identify yourself to Summit personnel upon arrival so this preference can be recorded and a reference photograph taken to ensure you are blurred or obscured in all post-production content.
We will take reasonable steps to exclude you from photographs and video footage. Where exclusion is not possible due to the nature of the Summit, you will be blurred or otherwise obscured during editing.
-
8. Conduct at the Summit
- 8.1 Decorum: Professional decorum is expected at all times during the Summit, and lack of decorum, determined at the sole discretion of the Organiser, can form the basis for an Attendee's participation to be terminated at the Summit and/or any future summit organised by us. Lack of decorum may include, but is not limited to, hate speech, inflammatory statements, fraudulent or misleading conduct, foul language including racial or gender-based slurs, sexual solicitation, unlawful discriminatory conduct, overly aggressive behaviour, disturbing other Attendees, participants or speakers by loud talk or telephone calls and defamatory statements.
- 8.2 Anti-harassment
- (a) We are dedicated to providing a harassment-free experience for all Attendees at the Summit. We do not tolerate harassment of other Attendees, participants, sponsors or organisers by fellow Attendees, participants, sponsors, organisers or other parties.
- (b) For the purposes of this clause, harassment includes but is not limited to offensive verbal comments about personal appearance, sexual orientation, gender, disability or religion, intimidation, following or stalking, abusive recording, disruption of Summit events, inappropriate physical contact and inappropriate attention. Summit participants who are asked to stop behaviour deemed as harassment are expected to comply immediately. Those found violating this anti-harassment provision may be expelled from the Summit without a refund and at the discretion of the organisers.
- (c) If you feel that you are being harassed, or notice that someone else is being harassed, during the Summit, please contact a staff member or organiser immediately.
- 8.3 Other behaviour: Certain other behaviours are not permitted at the Summit, including overt intoxication or illegal drug use, underage drinking, weapons or incendiary objects which may be confiscated at our discretion, unaccompanied Attendees under the age of 18, distribution of flyers or other items without our express written permission, intentional damage to landscape, buildings, interiors or contents.
9. Intellectual property
- 9.1 The logos, trademarks and copyrighted material and other intellectual property rights associated with the Summit in all media, including but not limited to photos, illustrations, designs, graphs, data and copy, is the sole and exclusive property of the Organiser. Your participation in the Summit does not grant you any ownership, license or usage rights in this content and you may not do so without express written permission in advance from the Organiser.

Nothing contained on the Website or in presentations at the Summit constitutes a solicitation, recommendation, endorsement, or offer by the Organiser or any of its representatives, or by any third party speakers or service providers at the Summit, to buy or sell bitcoin or any financial products in any jurisdiction in which such solicitation or offer would be unlawful under the securities laws of such jurisdictions.
- 12.2 Speaker disclaimer: The views expressed by speakers and presenters at the Summit are their own and do not necessarily represent the views of the Organiser. The Organiser does not accept liability for advice given, statements made, or content provided by any speaker.
- 12.3 Liability, release and indemnity

- (a) the Summit may include exhibitors, sponsors, sellers, demonstrators, food and beverage providers and other third parties (each a Third Party Vendor) offering goods, services, products, samples, information or promotional materials (Third Party Products) at or in connection with the Summit;
- (b) Third Party Vendors are independent of the Organiser. They are not our agents, employees, partners or representatives and we do not control, supervise, or direct their conduct, offerings or business operations;
- (c) Any contract, transaction, or other dealing relating to Third Party Products is solely between the Attendee (or other relevant party) and the relevant Third Party Vendor. We are not a party to any such arrangement and make no representation or warranty, express or implied, in relation to any Third Party Vendor or any Third Party Products, including as to quality, safety, fitness for purpose, accuracy, legality, availability, pricing or compliance with any standard.
- (d) The presence of a Third Party Vendor at the Summit does not constitute an endorsement, recommendation, or approval by the Organiser and, to the maximum extent permitted by law, the Organiser shall have no liability whatsoever (whether in contract, tort (including negligence), under statute, or otherwise) for any loss, damage, injury, cost, expense, or claim of any kind arising out of or in connection with any Third Party Vendor, any Third Party Products, or any act or omission of any Third Party Vendor, including any failure to supply, defect, misrepresentation, breach of contract or breach of intellectual property rights.

13. General
- 13.1 Entire agreement: The Contract, together with our Privacy Policy is the entire agreement and understanding between you and the Organiser in respect of its subject matter and will supersede and replace any prior agreements, understandings or arrangements whether written or verbal. Each party to the Contract acknowledges and agrees that in entering into the Contract it has not relied on any representation or promise given by another or implied from anything said or written other than as specifically set out in the Contract.
- 13.2 Force majeure: We will not be in any way responsible to you for a failure to comply with our obligations under the Contract, or for any costs or liabilities which you incur, as a result of any circumstances beyond our reasonable control, including but not limited to any act of God, flood, fire, trade dispute, lack of third party materials or services, epidemic or pandemic (or related government mandates).

If a modification is not possible, the part or provision must be treated for all purposes as severed from these Terms. The remainder of these Terms will be binding on you.
- 13.4 Assignment: You may not transfer or assign your rights or obligations to another person under the Contract without our express agreement. We may transfer or assign our rights and obligations under the Contract or appoint third parties to assist us in performing our obligations at any time on notice to you, provided that this will not reduce our obligations to you.
- 13.5 Non-waiver: If either we or you do not at any time enforce on any rights which we have under the Contract, then it will not affect the rights of either of us to enforce any rights at a later stage. If either of us chooses not to rely on a right which we have, it will not affect any other rights which either of us has.
- 13.6 Non-exclusion: Nothing in these Terms seeks to exclude or limit any rights available under applicable laws which cannot be excluded or limited. This means that these Terms will not change any rights which the law grants to you which that law does not allow us to change or limit.
- 13.7 Governing law: The Contract and all related rights and obligations of the Organiser, the Purchaser and the Attendees is governed by New Zealand law and the courts of New Zealand have exclusive jurisdiction in relation to any dispute arising out of or in connection with the Summit, the Contract, the Website or the Merch.
